Doing Business with McGraw Hill

As of June 2016, McGraw Hill implemented a Vendor Management System (VMS), Fieldglass, and a Managed Service Provider (MSP), AgileOne, to assist McGraw Hill with our contingent labor program. Please note this is currently only for domestic contingent labor, not goods. The MSP process and VMS tool will affect traditional temporary workers, suppliers, and independent contractors/freelancers. This solution enhances our current process of managing contingent workers. For current partners of McGraw Hill that fall in the contingent labor space, expect to receive further information directly from AgileOne when onboarding your organization if you have not been onboarded already.

Contingent Labor is defined within McGraw Hill as the following Supplier types:

Traditional Temporary/Staff Augmentation Workers; hourly workers that are provided to McGraw Hill via a staffing agency or a professional services organization by either the recruited workforce method or directly pay-rolling pre-identified individuals.

Independent Contractors/Freelancers; individual with 0-8 W-2 employees. Independent Contractors are working with McGraw Hill under contract with outlined deliverables and resources in order to complete a project in a specific timeframe.

Supplier SOW Company/Project Based Workers; Organization with 9 or more W-2 employees that offer project based workers. Supplier organizations are working with McGraw Hill under contract with outlined deliverables and resources in order to complete a project in a specific timeframe.

Ariba Network Information


What is Ariba Network?

The Ariba Network(AN) is a business-to-business e-commerce application that streamlines the overall procurement process with suppliers and improves the invoice to payment cycle by faster invoice reconciliation leading to on-time payments. Using the AN is MHE's preferred way of doing business. Suppliers will receive McGraw Hill contracts and/or purchase orders electronically, which they are then able to invoice against. Suppliers have the ability to track invoices and payment status over the AN.


How to join the Ariba Network?

To join the Ariba Network (AN), please go to http://supplier.ariba.com and choose "Register as a New Supplier" to register. The registration process only takes a few minutes. Once registered, you will receive an ANID#, which is a unique identification number specifically assigned to your business by Ariba. Please record this number for future reference and add this to your McGraw Hill supplier profile so that we can begin to transact with you electronically. Accounts Payable


How to request changes to your supplier account:

All suppliers should submit changes to their address, banking, contact, etc. to MHE.AP.Vendor@mheducation.com directly with proper tax forms and banking letters (or a copy of a voided check).

Note a letter from the Supplier's bank is required when requesting changes to any banking information currently on file. The letter must be on bank letterhead, signed by a bank manager, and written in English. All account details should be provided, and the account holder’s name must match the name McGraw Hill has in our Supplier file. If the supplier does not comply with the request for confirmation, it could result in a delay of the supplier's payment. If a supplier has any questions, please have them contact the McGraw Hill A/P Team at MHE.AP.Vendor@mheducation.com.

McGraw Hill disburses payments to our suppliers and authors on a weekly basis according to standard payment terms (as noted in the table).

McGraw Hill enjoys a worldwide reputation for integrity, honesty and good faith across all dealings. We are committed to conducting business in accordance with the highest standards of business ethics and in accordance with applicable laws. This Supplier Code of Business Ethics ("Code") sets out the principles and expectations we have of our suppliers in conducting business.

As one of McGraw Hill's suppliers, we require that you understand the requirements of this Code, operate in accordance with the expectations outlined and comply, at a minimum with all applicable laws, rules, regulations and standards within the geographies in which you operate. In instances where standards outlined in this Code differ from local laws, you must respect these standards within the framework of the applicable local laws. If this Code conflicts with the terms of your contract with us, the contract terms will prevail.

Bribery and Anti-Corruption.
McGraw Hill prohibits bribery and corruption in any form. McGraw Hill complies with all applicable anti-corruption, anti-bribery and similar acts of countries applicable to our activities, including but not limited to the United States Foreign Corrupt Practices Act, the UK Bribery Act 2010, and we expect our suppliers to do the same. Our suppliers must conduct business ethically and with the highest level of integrity and shall not take any action that would cause them to be in violation of this Code or applicable anti-corruption laws.

Confidentiality.
You will treat all non-public information relating to McGraw Hill, including any information obtained by you during the course of providing services to McGraw Hill, as confidential information, including any non-public information about McGraw Hill's financial performance, trade secrets, products, plans, customers, employees, or business partners. You will not use McGraw Hill's confidential information for any purpose other than the performance of the services for McGraw Hill, and you will not disclose confidential information to any other person except to other McGraw Hill suppliers or employees who have a need to know such information.

Privacy.
McGraw Hill takes the privacy and security of personal and sensitive information of our customers and employees seriously, and we expect our Suppliers to do the same by meeting the data protection and privacy requirements as defined in our agreements. Please also refer to McGraw Hill's Privacy Center.

Representing McGraw Hill.
You will not contact any person or entity to seek personal gain or other benefits by claiming that you represent McGraw Hill. Under no circumstances will you act as an agent or representative of McGraw Hill on social media.

Labor. You do not and will not discriminate against or harass any McGraw Hill customer, employee, or other supplier on the basis of race, color, religion, sex, gender identity, gender expression, age, sexual orientation, national or ethnic origin, citizenship status, veteran status, disability or any other unlawful basis. You do not and will not engage in illegal or inhumane labor practices, including the use of forced or child labor, or otherwise engage in slavery or human trafficking. Anti-Corruption Standards

You will not take any action that would violate the United States Foreign Corrupt Practices Act, the UK Bribery Act 2010, any anti-corruption or similar act of any country applicable to your activities, and any rules or regulations thereunder, and any established corporate policies of McGraw Hill regarding foreign business practices ("Anti-Corruption Laws") or these Anti-Corruption Standards. As one of McGraw Hill's suppliers, you and your employees, agents and affiliates will comply with these Anti-Corruption Standards.

Anti-Corruption Laws.
You will comply with Anti-Corruption Laws. You will not take any action that would cause you to be in violation with Anti-Corruption Laws, including, without limitation, the use of any corporate funds for unlawful contributions, gifts, entertainment or other expenses or payments relating to political activity; making, attempting to make, offering, or authorizing any unlawful payment, thing of value, bribe, rebate, payoff, influence payment, kickback or other similar unlawful payment to a "Foreign Official" (including, without limitation, any officer or employee of a government at any level or of a controlled enterprise thereof or of a public international organization, or a person acting in an official capacity for or on behalf of any such government or public international organization, or a candidate for political office, or a political party or party official), for the purpose of influencing an act or decision (including a decision not to act) or inducing such a person to use his or her influence to affect any such governmental act or decision to obtain, retain, or direct any business or otherwise as prohibited by any applicable Anti-corruption Laws.

Gifts.
You will not give or promise to give anything of value either directly or indirectly to any person to improperly obtain or retain business, gain improper business advantage or improperly influence any business decision. This prohibition applies whether the intended recipient works in the public or private sector. You will not accept or agree to accept anything of value in exchange for influencing a business decision or where the recipient would be placed under a real or perceived obligation to the giver.

Record Keeping.
You will not make false or misleading entries in your books (including entries that fail to reflect improper transactions), make entries that are falsified to disguise improper transactions or fail to record payments made by or to you.

Audits.
McGraw Hill may select an independent third party to conduct an audit to certify that you comply with these Anti-Corruption Standards, as set forth in the audit section of the agreement(s) between you and McGraw Hill regarding your provision of services to McGraw Hill.

Supplier Status.
You are not owned wholly or in part by a government, any agency or instrumentality thereof, or any government official. None of your owners, partners, officers, directors, or employees, or any of your affiliates is an official or employee of the government or affiliated with an individual or entity that is on the United States Specially Designated Nationals List (SDN). You will provide written notice to McGraw Hill if your status changes.

Reporting Breaches


Any failure to comply with McGraw Hill's Supplier Code of Business Ethics or Anti-Corruption Standards should be reported to McGraw Hill immediately.

If you have reason to believe that a supplier working on behalf of McGraw Hill may have violated McGraw Hill's Supplier Code of Business Ethics or Anti-Corruption Standards, or otherwise have reason to believe that such person has engaged in ethical or legal misconduct, report such violations to McGraw Hill at –
